Terms of Service

Effective Date: October 1, 2025

1. Acceptance of Terms

By accessing or using the Cliperly APIs (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. By accessing or using these APIs, including through RapidAPI platform or direct integration, you acknowledge and declare that you accept these terms of service and you are 18 years of age or older. Your access and use indicate your acknowledgment, acceptance, and unconditional agreement to all the terms and conditions set forth herein without modification, and this agreement takes effect immediately.

To reject, simply refrain from using the Service. However, you may not access or use these APIs if you (or your guardian or legal representative) cannot enter into a binding contract or in any jurisdiction where this user agreement is not enforceable. You agree that your use constitutes acknowledgment that you have read, understood, and accepted all terms.

If you are the owner or operator of the equipment used to access this Service, by allowing such use, you consent and agree to be bound by the terms and conditions of this user agreement. If acting on behalf of organizations, you declare that you are authorized to act as an agent and accept this user agreement on behalf of your employer and organizations. You agree to use the Service only in accordance with these usage rights and all applicable laws and regulations.

2. Description of Service

Cliperly provides four APIs for YouTube content analysis and processing:

  • YouTube Subtitles Downloader API: Extracts and downloads subtitles/captions from YouTube videos in multiple formats (SRT, VTT, TXT, JSON). This API accesses publicly available subtitle data that is either auto-generated by YouTube or inherent to the video content.
  • YouTube Summarizer API: Generates AI-Driven summaries of YouTube video content in four different formats (brief, detailed, bullet points, key takeaways). Summaries are created by processing video transcripts through artificial intelligence models.
  • YouTube Timestamps Generator API: Automatically creates chapter timestamps for YouTube videos using AI analysis. Generates 5-10 intelligent timestamps with descriptions based on content analysis.
  • YouTube Thumbnail Extractor API: Extracts thumbnail URLs from YouTube videos and Shorts in all available resolutions. Provides direct CDN URLs without processing or storing any media files.

All APIs are accessible through RapidAPI platform with various subscription tiers offering different usage limits and features.

3. Data Source and Content Disclaimers

3.1 Public Data Access

Cliperly APIs obtain data exclusively through publicly available sources and libraries on the internet. We do not own, create, or claim ownership of YouTube video content, subtitles, or any media files. All content accessed through our APIs is publicly available through YouTube's platform.

3.2 No Video/Audio Downloads

IMPORTANT: Under no circumstances do these APIs download, store, or redistribute video files. Our APIs work exclusively with text data: subtitles, captions, transcripts, and text-based analysis. We do not process, store, or transmit video or audio media files.

3.3 Subtitle and Caption Sources

Subtitles and captions processed by our APIs include:

  • Auto-generated captions created automatically by YouTube's speech recognition systems
  • User-uploaded captions and subtitles that are publicly available with the video
  • Community-contributed subtitles available through YouTube's platform

3.4 AI-Generated Content

Summaries generated by the YouTube Summarizer API and timestamps created by the YouTube Timestamps Generator API are produced through artificial intelligence processing. While we strive for accuracy:

  • We do not guarantee 100% accuracy in AI-generated summaries or timestamps
  • AI-generated content may contain errors, omissions, or interpretations that differ from the original video content
  • Users should verify critical information from AI-generated responses
  • AI models may occasionally produce inconsistent or unexpected results

3.5 No Technical Details Disclosure

We do not disclose specific AI models, processing architectures, base URLs, internal code implementations, or proprietary technical details of our Service. Such information is confidential and proprietary to Cliperly.

4. Copyright and Intellectual Property

4.1 Third-Party Content

Content accessed through Cliperly APIs, including video titles, descriptions, subtitles, and transcripts, is owned by the respective YouTube content creators and rights holders. Cliperly does not claim ownership of any YouTube content processed through our APIs.

4.2 Copyright Infringement Reporting

If you believe that content accessed through our APIs infringes your copyright or intellectual property rights, please immediately contact us at support@cliperly.com with the following information:

  • Description of the copyrighted work or intellectual property claimed to be infringed
  • Specific YouTube video URL and API endpoint involved
  • Your contact information and proof of rights ownership
  • A statement that you have a good faith belief that the use is not authorized

Upon receiving valid copyright infringement notices, we will investigate and take appropriate action, which may include restricting API access to specific content or implementing additional safeguards.

4.3 User Responsibility

You are solely responsible for ensuring that your use of Cliperly APIs and any content obtained through the Service complies with applicable copyright laws and YouTube's Terms of Service. You must obtain necessary permissions before using content accessed through our APIs for commercial purposes.

5. User Accounts and Subscriptions

5.1 Account Creation

Access to Cliperly APIs requires registration through RapidAPI platform. You are responsible for maintaining the confidentiality of your RapidAPI credentials and API keys. You agree to notify us immediately of any unauthorized use of your account.

5.2 Subscription Tiers

Cliperly offers multiple subscription plans for each API with varying features, request limits, and pricing. Subscriptions are billed on a recurring basis as specified at the time of purchase through RapidAPI's payment processing system. You may cancel your subscription at any time through the RapidAPI platform.

5.3 API Rate Limits

Each subscription tier includes specific rate limits and request quotas. Exceeding these limits may result in temporary API access restrictions or additional charges. Rate limits are enforced to ensure fair usage and service stability for all users.

6. Prohibited Conduct

You agree NOT to:

  • Use the Service to violate YouTube's Terms of Service or any applicable laws and regulations
  • Attempt to circumvent API rate limits, authentication mechanisms, or subscription restrictions
  • Reverse-engineer, decompile, or otherwise attempt to discover the source code or internal workings of the Service
  • Use the APIs to download, store, or redistribute YouTube video or audio files
  • Resell, redistribute, or provide API access to third parties without explicit written permission from Cliperly
  • Use the Service for any illegal, fraudulent, or unauthorized purposes
  • Overload or attempt to disrupt the Service infrastructure through excessive requests or malicious activities
  • Use the APIs to create competing services or products without authorization
  • Access content through the APIs that you do not have legal rights to access
  • Violate any intellectual property rights of YouTube content creators or rights holders

7. Service Availability and Modifications

Cliperly reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We do not guarantee uninterrupted or error-free API access. Service may be temporarily unavailable due to maintenance, updates, or technical issues beyond our control.

We may update API endpoints, features, response formats, or functionality with reasonable notice to users. Continued use of the Service after such modifications constitutes acceptance of the changes.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CLIPERLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated summaries or timestamps will be 100% accurate or complete
  • Subtitles or captions accessed through the APIs will be accurate or available for all videos
  • The Service will meet your specific requirements or expectations
  • Any errors or defects in the Service will be corrected

IN NO EVENT SHALL CLIPERLY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Service interruptions or data inaccuracies
  • Errors in AI-generated content
  • Third-party claims related to content accessed through the APIs
  • Copyright infringement claims arising from your use of the Service

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cliperly and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms or applicable laws
  • Your violation of any rights of third parties, including copyright holders
  • Your unauthorized use of content accessed through the APIs

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms of Service
  • Fraudulent or illegal activities
  • Excessive API usage beyond subscription limits
  • Non-payment of subscription fees
  • Activities that harm the Service or other users

Upon termination, your right to use the Service will immediately cease. We are not liable for any losses resulting from suspension or termination of Service access.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our documentation website and updating the "Effective Date" at the top of this document. For significant changes, we may provide additional notice through RapidAPI platform or email.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
